Common use of Material Customers Clause in Contracts

Material Customers. Schedule 3.22(a) sets forth a true and complete list of the twenty (20) largest customers of the Company for the fiscal year ended December 31, 2020 and the interim period ended June 30, 2021 (calculated on the basis of revenues of the Company during such period), showing the total revenues attributable to each such customer for each such period (“Material Customers”). Except as set forth on Schedule 3.22(a), as of the date hereof, no such Material Customer has notified any of the Sellers or the Company in writing, or to the Knowledge of the Company, orally, that it has ceased or intends to cease doing business with, or that it will otherwise materially reduce its relationship with or otherwise modify the terms on which it does business with, the Company.

Material Customers. Schedule 3.22(a) 3.28.1 sets forth a true and complete list of the twenty (20a) largest customers of the each customer who has paid aggregate consideration to any Company for goods or services rendered in an amount greater than $250,000 (i) for the Company's fiscal year ended December 31, 2020 2013 and (ii) for the interim period 10 months ended June 30October 25, 2021 2014 (calculated on collectively, the basis of revenues of the Company during such period), showing the total revenues attributable to each such customer for each such period (“"Material Customers”"); and (b) the amount of consideration paid by each Material Customer during each of such two periods. Except as set forth on in Schedule 3.22(a)3.28.1, as none of the date hereofCompanies has received any written notice, no such Material Customer or has notified knowledge, that any of the Sellers or the Company in writingits Material Customers has ceased, or to the Knowledge of the Company, orally, that it has ceased or intends to cease doing business withafter the Closing, to use its goods, products or that it will services or to otherwise terminate or, except for fluctuations expected in the Ordinary Course of Business, materially reduce its relationship with or otherwise modify the terms on which it does business with, the any Company.

Schedule 3.22(a3.17(a) sets forth a true and complete list of the twenty ten (2010) largest customers of the Company for the fiscal year ended December 31Company, 2020 and the interim period ended June 30, 2021 (calculated in each case as determined on the basis of revenues of for goods sold or services provided for the Company during such periodtwelve (12)-month period ended on December 31, 2018 (each, a “Material Customer”), showing together with the total gross revenues attributable to from each such customer for each such period (“Material Customers”). Except as set forth on Schedule 3.22(a), as of the date hereof, no such Material Customer has notified any of the Sellers or the Company in writing, or to during such twelve (12)-month period. To the Knowledge of the Company, orally, there is not currently any material dispute with any Material Customer. The Company has not received any written notice from any Material Customer stating that it such Material Customer has ceased or intends to materially reduced or will after passage of time cease doing business with, or that it will otherwise materially reduce its relationship business with or otherwise modify the terms on which it does business with, the Company.
