To the Knowledge of DPII, the representations and warranties of DPII contained in this Agreement (including the exhibits and schedules hereto) do not contain and will not contain any untrue statement of a material fact and do not and will not omit to state a material fact necessary to make the statements or facts contained herein or therein, in this context and under the circumstances in which such statements or facts appear, not misleading.
