Common use of Material Properties Clause in Contracts

Material Properties. The ▇▇▇▇▇ ▇▇▇▇▇▇▇ Project and the Gas Hills Uranium Project are the only properties which ▇▇▇▇▇▇ currently considers to be “material” in which Azarga has an interest and Azarga (or one of the Azarga Subsidiaries) is the absolute legal and beneficial owner of, and has good and marketable title to, the interests in the ▇▇▇▇▇ ▇▇▇▇▇▇▇ Project and the Gas Hills Uranium Project or assets as described in the Azarga Public Records, and except as disclosed in the Azarga Disclosure Letter or Azarga Public Records, such interests are free of all mortgages, liens, charges, pledges, security interests, encumbrances, claims or demands whatsoever and no other property rights are necessary for the conduct of the activities of Azarga on the ▇▇▇▇▇ ▇▇▇▇▇▇▇ Project and Gas Hills Uranium Project as currently conducted, and Azarga does not know of any claim or the basis for any claim that might or could materially adversely affect the right thereof to use, transfer or otherwise exploit such property rights and, except as disclosed in the Azarga Disclosure Letter or Azarga Public Records.
