Matters Affecting the Property. 20.1 The Seller will sell the Property free from incumbrances other than: (a) any matters, other than the Charge, contained or referred to in the entries or records made in registers maintained by HM Land Registry as at 9 January 2017 at 08:19:35 under title number NYK204936 as at 13 February 2017 at 10:10:21 under title number NYK328876; (b) any matters discoverable by inspection of the Property before the Unconditional Date; (c) any matters which the Seller does not and could not reasonably know about; (d) any matters, other than the Charge, disclosed by searches or enquiries made before the Unconditional Date or which would have been disclosed by the searches and enquiries that a prudent buyer would have made before the Unconditional Date; (e) public requirements (f) the Telecoms Licence; and (g) any matters which are unregistered interests which override registered dispositions under Schedule 3 to the Land Registration ▇▇▇ ▇▇▇▇. 20.2 Conditions 3.1.1, 3.1.2, 3.1.3 and 3.3 do not apply to this contract. 20.3 The Buyer is deemed to have full knowledge of the matters referred to in clause 19.1 and will not raise any enquiry, objection, requisition or claim in respect of any of them except in relation to matters revealed in the usual pre-completion conveyancing searches.

Matters Affecting the Property. 20.1 9.1 The Seller will sell sell/grant the lease of the Property free from incumbrances other than:
(a) 9.1.1 any matters, other than the Charge, contained or referred to in the entries or records made in registers maintained by HM Land Registry as at 9 January 2017 at 08:19:35 under title number NYK204936 [ ]/or where the title is unregistered as disclosed in the Certificate of Title attached at 13 February 2017 at 10:10:21 under title number NYK328876Appendix B;
(b) 9.1.2 any matters discoverable by inspection of the Property before the Unconditional Datedate of this agreement;
(c) 9.1.3 any matters which the Seller does not and could not reasonably know about;
(d) 9.1.4 any matters, other than the Charge, disclosed by searches or enquiries made before the Unconditional Date or which would have been disclosed by the searches and enquiries that which a prudent buyer would have made before the Unconditional Dateentering into this agreement;
(e) 9.1.5 public requirements;
(f) the Telecoms Licence; and
(g) 9.1.6 any matters which are unregistered interests which override registered dispositions under Schedule 3 to the Land Registration ▇▇▇ ▇▇▇▇; and
9.1.7 the Occupational Lease[s] and all rights and obligations arising by virtue of it and any all interests deriving out of it.
20.2 9.2 Conditions 3.1.14.1.1, 3.1.2, 3.1.3 4.1.2 and 3.3 4.1.3 do not apply to this contractagreement.
20.3 9.3 The Buyer is deemed to have full knowledge of the matters referred to in clause 19.1 9.1 and will not raise any enquiry, objection, requisition or claim in respect of any of them except in relation to matters revealed in the usual pre-completion conveyancing searchesthem.

Matters Affecting the Property. 20.1 9.1 The Seller Landlord will sell grant the Property Lease to the Tenant free from incumbrances encumbrances other than:
(a) any matters, other than the Chargefinancial charges, contained or referred to in the entries or records made in registers maintained by HM Land Registry as at 9 January 2017 at 08:19:35 under title number NYK204936 as GR243832 at 13 February 2017 at 10:10:21 under title number NYK328876the date hereof.
(b) all matters contained or referred to in the Lease;
(bc) all matters contained or referred to in the Transfer of Part;
(d) any matters discoverable by inspection of the Property before the Unconditional Datedate of this agreement;
(ce) any matters which the Seller Landlord does not and could not reasonably know about;
(df) any matters, other than the Chargefinancial charges, disclosed by searches or enquiries made before the Unconditional Date or which would have been disclosed by the searches and enquiries that a prudent buyer tenant would have made before the Unconditional Dateentering into this agreement;
(eg) public requirements
(f) the Telecoms Licence; and
(gh) any matters which are are, or (where the Lease will not be registered) would be, unregistered interests which override registered dispositions first registration under Schedule 3 1 to the Land Registration ▇▇▇ ▇▇▇▇.
20.2 Conditions 3.1.1, 3.1.2, 3.1.3 and 3.3 do not apply to this contract.
20.3 9.2 The Buyer Tenant is deemed to have full knowledge of the matters referred to in clause 19.1 9.1 and will not raise any enquiry, objection, requisition or claim in respect of any of them except in relation to matters revealed in the usual pre-completion conveyancing searchesthem.
