Common use of Maximum Number of Demand Registrations Clause in Contracts

Maximum Number of Demand Registrations. The Company is obligated pursuant to Sections 3(a)(i) and 3(b)(i) to effect only the number of Demand Registrations for each Investor and its Permitted Transferees (in their capacity as an Initiating Holder) as follows: Investor Demand Registrations 3G 3 in any 12 month period except, that if more than 15% of any Initiating Holder’s Registrable Securities that were requested to be included in a Registration demanded by such Initiating Holder pursuant to Section 3(a) or Section 3(b) were not included in such Registration as a result of cutback provisions imposed by the managing underwriter pursuant to Section 3(d), then such Registration will not count against such Initiating Holder as a Demand Registration under this Section 3(a)(ii).
