The Maximum Price clause sets an upper limit on the total amount payable under a contract. Maximum Price. During the performance period of this Agreement, the maximum price for the same or similar items and/or services shall not exceed the lowest price at which Contractor then offers the items and/or services to its most favored customer.

(iii) Registry Operator is entitled to increase the Maximum Price by an amount sufficient to cover any additional incremental costs incurred, or to be incurred, by Registry Operator due to the imposition of any new Consensus Policy or documented extraordinary expense resulting from an attack or threat of attack on the Security or Stability of the DNS (“Consensus Policy or Documented Extraordinary Expense”) in each Pricing Year by an amount not to exceed the smaller of (A) the Maximum Price for the preceding Pricing Year, multiplied by 1.07, or (B) the highest price charged by Registry Operator for Registry Services during the preceding Pricing Year, multiplied by 1.07, provided that, Registry Operator may only increase the Maximum Price for a Consensus Policy or Documented Extraordinary Expense pursuant to this Section 7.3(d)(iii) in a Pricing Year where Registry Operator has not, and will not, increase the Maximum Price for Registry Services pursuant to Section 7.3(d)(ii) above. For purposes of Section 7.3, “Pricing Year” shall mean the period from October 26 to October 25.

(i) from the Effective Date through 31 December 2006, US$6.00;
(ii) for each calendar year beginning with 1 January 2007, the smaller of the preceding year's Maximum Price or the highest price charged during the preceding year, multiplied by 1.07.

In any year, however, where a price increase does not occur, Registry Operator shall be entitled to increase the Maximum Price by an amount sufficient to cover any additional incremental costs incurred during the term of the Agreement due to the imposition of any new Consensus Policy or documented extraordinary expense resulting from an attack or threat of attack on the Security or Stability of the DNS, not to exceed the smaller of the preceding year's Maximum Price or the highest price charged during the preceding year, multiplied by 1.07.

Maximum Price. In the event the Consultant is directed to perform services on a time card basis, the Not to Exceed Amount set forth in the Staffing Plan for the required services will constitute the maximum price to be paid to the Consultant for providing the services specified therein. The Consultant will not be entitled to payment in excess of such amount, unless the Commissioner, in their sole and absolute discretion, determines that exceptional circumstances exist which were not foreseeable by the parties and which were not attributable to any fault on the part of the Consultant.
Maximum Price. AP shall deliver promptly to DNC all notices, documents, agreements and other information in AP's possession or control, necessary or desirable to determine whether a Change of Control or a Disposition has taken or shall take place within twelve (12) months of notification by AP or DNC of the exercise of the DNC Put Option or the AP Call Option and the Maximum Price in connection therewith.
