The Measurement Activities clause defines the procedures and responsibilities for measuring, monitoring, or verifying certain aspects of a project or service. Typically, this clause outlines what will be measured, the methods or standards to be used, and the frequency or timing of such activities. For example, it may require regular performance assessments or quality checks to ensure compliance with agreed specifications. Its core function is to provide a clear framework for objective evaluation, thereby ensuring transparency and accountability between the parties involved.
Measurement Activities. Unless otherwise agreed to by the Customer and Enterprise, all measurement and sampling equipment, procedures, calculations and practices (collectively, the “Measurement Activities”) shall be performed by Enterprise personnel and shall be performed in conformance with the API MPMS. All measurement, procedures, calculations, and practices that require an inspector shall be performed by an independent inspector to be appointed by mutual agreement of the Parties (the “Independent Inspector”) and shall be performed in conformance with the most current API MPMS. The Independent Inspector may witness Enterprise perform Measurement Activities and verify Enterprise’s determination of quantity.
Measurement Activities. The state must ensure that each participating health plan is accountable for metrics on quality and access, including measures to track progress in identified quality improvement focus areas, measures to track quality broadly, and measures to track access. The state must set performance targets that equal or exceed the 75th percentile national Medicaid performance level. The state must collect data and information on dental care utilization rates, the CMS Medicaid and CHIP adult and child core measures, and must align with other existing federal measure sets where possible to ensure ongoing monitoring of individual well- being and plan performance. The state will use this information in ongoing monitoring and quality improvement efforts, in addition to quality reporting efforts.

JCI has access to a database that has the computer power consumption measurement data as function of power state. JCI will use that measurement database to calculate pre-energy usage. Post-Measurement Activities: JCI will continuously measure computer power states and determine the power consumption in each of those states by looking at the measurement database for one year. Verify that the software is still in use every year thereafter during the M&V services period.
Measurement Activities. Solar heat gain coefficient and UV(A) (ultraviolet), Visible Light (VLT), and Near Infrared (NEAR IR) transmission values for at least 5% of the pre-retrofit windows.

During the Project Benefit Term, JCI will be entitled to adjust savings guarantee to reflect and changes in the assumptions set forth above caused by Customers change in the number of CPUs or mode and hours of operation, failure to maintain or update the Power Management software in accordance with manufacturer’s recommendations, or any other reason not related to an act or omission of JCI. In addition, if the changes are material and Customer is not able to provide adequate documentation to allow JCI to make the adjustments described, JCI will be entitled to deem that the Project Benefits relating to this Improvement Measure have been achieved ECM 18: Energy Efficient Transformers M&V Option: NEMVP-A (One Time) Measure kW of a sample set of transformers that will be replaced. Measurement will be with approximately same loading before and after. A digital camera will be used to document the post- retrofit conditions. Inspect and verify the transformer installation to see if they meet the specifications of the DEA in terms of quantity, quality and rating. Measure the Post kW of the same sample set of transformers from the premeasurements. Visual inspections on a sample set for the remainder of the M&V Services Period.   • Development Activities The Development activities referred to in item “b” of paragraph 3.1 include: studies and projects of implementation of the Production facilities; drilling and completion of the Producing and injection ▇▇▇▇▇; and installation of equipment and vessels for extraction, collection, Treatment, storage, and transfer of Oil and Gas. The installation referred to in item “c” includes, but is not limited to, offshore platforms, pipelines, Oil and Gas Treatment plants, equipment and facilities for measurement of the inspected Production, wellhead equipment, production pipes, flow lines, tanks, and other facilities exclusively intended for extraction, as well as oil and gas pipelines for Production Outflow and their respective compressor and pumping stations.

  • Independent Activities 14.1 Except as expressly provided herein, each party shall have the free and unrestricted right to independently engage in and receive the full benefit of any and all business endeavours of any sort whatsoever, whether or not competitive with the endeavours contemplated herein without consulting the other or inviting or allowing the other to participate therein. No party shall be under any fiduciary or other duty to the other which will prevent it from engaging in or enjoying the benefits of competing endeavours within the general scope of the endeavours contemplated herein. The legal doctrines of "corporate opportunity" sometimes applied to persons engaged in a joint venture or having fiduciary status shall not apply in the case of any party. In particular, without limiting the foregoing, no party shall have any obligation to any other party as to: (a) any opportunity to acquire, explore and develop any mining property, interest or right presently owned by it or offered to it outside of the Property at any time; and (b) the erection of any mining plant, mill, smelter or refinery, whether or not such mining plant, mill, smelter or refinery treats ores or concentrates from the Property.

  • Regulatory Activities a) As between the Parties, Xynomic shall have the sole responsibility and discretion for preparing, obtaining, and maintaining Drug Approval Applications (including the setting of the overall regulatory strategy therefor), other Regulatory Approvals and other submissions, and for conducting communications with the Regulatory Authorities, for Licensed Compounds or Licensed Products in the Territory (which shall include filings of or with respect to INDs and other filings or communications with the Regulatory Authorities). All Regulatory Approvals relating to the Licensed Compounds or Licensed Products with respect to the Territory shall be owned by, and shall be the sole property and held in the name of, Xynomic or its designated Affiliate. Pharmacyclics hereby assigns to Xynomic all of Pharmacyclics’ (or its Affiliates’) right, title, and interest in and to all Regulatory Documentation owned by Pharmacyclics (or its Affiliates) and held in Pharmacyclics’ name (or its Affiliates) as of the Effective Date or generated in the “winding up” activities after the Effective Date and shall deliver all Regulatory Documentation as well as embodiments of all Regulatory Documentation to Xynomic within sixty (60) days after the Effective Date. b) Xynomic shall notify the Pharmacyclics Alliance Manager promptly (but in no event later than forty-eight (48) hours) following its determination that any event, incident, or circumstance has occurred that may result in the need for a recall, market suspension, or market withdrawal of a Licensed Compound or Licensed Product in the Territory, and shall include in such notice the reasoning behind such determination, and any supporting facts. Xynomic (or its Sublicensee) shall have the right to make the final determination whether to voluntarily implement any such recall, market suspension, or market withdrawal in the Territory; provided that prior to any implementation of such a recall, market suspension, or market withdrawal, Xynomic shall consult with Pharmacyclics and shall consider Pharmacyclics’ comments in good faith. If a recall, market suspension, or market withdrawal is mandated by a Regulatory Authority in the Territory, Xynomic (or its Sublicensee) shall initiate such a recall, market suspension, or market withdrawal in compliance with Applicable Law. For all recalls, market suspensions, or market withdrawals undertaken pursuant to this Section 2.2.1.b), Xynomic (or its Sublicensee) shall be solely responsible for the execution and all costs thereof.
