Measurement if Termination of Employment. If Executive’s employment with the Company terminates for any reason, the termination date shall be a Subsequent Measurement Date for purposes of determining whether additional shares will vest pursuant to Section 4.3.2 to the extent the Tranche is not 100% vested. The Subsequent Measurement Price for purposes of this Section 4.3.4 will be determined during the period measured from the preceding September 20th to the date of termination of Executive’s employment.
