Common use of Memorandum and Articles Clause in Contracts

Memorandum and Articles. The Memorandum and Articles, in the form attached hereto as Exhibit A, shall have been duly adopted by all necessary action of the Board of Directors and/or the members of the Company (which Memorandum and Articles shall have been duly filed with the appropriate authority(ies) of the Cayman Islands within five (5) Business Days after the Closing), and such adoption shall have become effective prior to the Closing with no alteration or amendment as of the Closing, and a stamped copy of the duly adopted Memorandum and Articles shall be delivered to the Investors after the Closing.

Memorandum and Articles. The Memorandum and Articles, in the form forms attached hereto as Exhibit AA-1 and Exhibit A-2, respectively, shall have been duly adopted by all necessary action actions of the Board of Directors and/or the members shareholders of the Company (which Memorandum and Articles shall have been duly filed submitted for filing with the appropriate authority(ies) of the Cayman Islands within five (5) Business Days after at or prior to the Closing), and such adoption shall have become effective prior to the Closing with no alteration or amendment as of the Closing, and a stamped copy of the duly adopted Memorandum and Articles reasonable evidence thereof shall be have been delivered to the Investors after the ClosingInvestors.
