Memorandum of Agreements. This Memorandum of Agreements is executed for the purpose of giving notice of the existence of the Unrecorded Agreements. The Unrecorded Agreements are a material part hereof as though set forth in their entirety herein. Whenever a conflict of provisions between this Memorandum of Agreements and the Unrecorded Agreements shall occur, the provisions of the Unrecorded Agreements shall govern.
