Common use of Merger and Effective Time Clause in Contracts

Merger and Effective Time. Upon the filing of the articles of merger (the “Articles of Merger”), entered into concurrently herewith, with the Secretary of State of the State of Nevada, Parent shall be merged with and into Merge Sub (the “Merger”) and Merger Sub shall be the surviving corporation of the Merger (the “Surviving Corporation”) effective on November 7, 2016 (the “Effective Time”).

Merger and Effective Time. Upon Effective upon the filing of the articles of merger (the “"Articles of Merger”"), entered into concurrently herewith, with the Secretary of State of the State of NevadaNevada (the "Effective Time"), Parent General Components shall be merged with and into Merge Sub Parent (the “"Merger”") and Merger Sub Parent shall be the surviving corporation of the Merger (the “"Surviving Corporation”) effective on November 7, 2016 (the “Effective Time”").

Upon the filing of the articles of merger (the “Articles of Merger”), entered into concurrently herewith, with the Secretary of State of the State of Nevada, Parent Merger Sub shall be merged with and into Merge Sub Parent (the “Merger”) and Merger Sub Parent shall be the surviving corporation of the Merger (the “Surviving Corporation”) effective on November 7August 1, 2016 2018 (the “Effective Time”).

Upon the filing of the articles of merger (the “Articles of Merger”), entered into concurrently herewith, with the Secretary of State of the State of Nevada, Parent Merger Sub shall be merged with and into Merge Sub Parent (the “Merger”) and Merger Sub Parent shall be the surviving corporation of the Merger (the “Surviving Corporation”) effective on November 7June 5, 2016 2017 (the “Effective Time”).

Upon the filing of the articles of merger (the “Articles of Merger”), entered into concurrently herewith, with the Secretary of State of the State of Nevada, Parent Merger Sub shall be merged with and into Merge Sub Parent (the “Merger”) and Merger Sub Parent shall be the surviving corporation of the Merger (the “Surviving Corporation”) effective as of 12:01 am on November 7[___________], 2016 2016. (the “Effective Time”).
