Common use of Merger and Integration Clause in Contracts

This Agreement and the attached exhibits and matters incorporated by reference contain the entire agreement of the parties hereto with respect to the matters covered and the transactions contemplated hereby, and no other agreement, statement or promise made by any party hereto, or by any employee, officer, agent or attorney of any party hereto, which is not contained herein, shall be valid or binding.

This Agreement may only be modified in a writing signed by any employee, officer, agent or attorney of any party hereto, which is not contained herein, shall be valid or bindingboth parties.

This Agreement, the Notes, the Security Agreement and the attached exhibits and matters incorporated by reference Warrants contain the entire agreement of the parties hereto with respect to the matters covered and the transactions contemplated herebyhereby and thereby, and no other agreement, statement or promise made by any party heretosuch party, or by any employee, officer, agent or attorney of any party heretosuch party, which is not contained hereinherein or therein, shall be valid or binding.

No covenants, and no other agreementagreements, statement representations or promise warranties of any kind whatsoever have been made by any party hereto, except as specifically set forth therein. All prior discussions and negotiations, whether written or by any employeeoral, officerhave been and are.merged and integrated into, agent or attorney of any party heretoand are superseded by, which is not contained herein, shall be valid or bindingsuch integrated written agreement.
