Merger of the Company into Sub. Upon the terms and conditions set forth in this Agreement, at the Effective Time, the Company shall be merged with and into Sub, and the separate existence of the Company shall cease. Sub shall continue as the surviving corporation of said Merger (the "Surviving Corporation").
