Common use of Minimum Adjustment of Exercise Price Clause in Contracts

Minimum Adjustment of Exercise Price. If the amount of any adjustment of the Exercise Price required Pursuant to Sections 6.1 through 6.12 would be less than two percent (2%) of the Exercise Price in effect at the time such adjustment is otherwise so required to be made, such amount shall be carried forward and adjustment with respect thereto made at the time of and together with any subsequent adjustment which, together with such amount and any other amount or amounts so carried forward, shall aggregate at least two percent (2%) of such Exercise Price; provided that, upon the exercise of the Warrants, all adjustments carried forward and not theretofore made up to and including the date of such exercise shall, with respect to the portion of the Warrants then exercised, be made to the nearest .1 of a cent.

If the amount of any adjustment of the Exercise Price required Pursuant pursuant to Sections 6.1 through 6.12 this Section 7 would be less than two one percent (21%) of the Exercise Price in effect at the time such adjustment is otherwise so required to be made, such amount shall be carried forward and adjustment with respect thereto made at the time of and together with any subsequent adjustment which, together with such amount and any other amount or amounts so carried forward, shall aggregate at least two one percent (21%) of such Exercise Price; provided that, upon the exercise of the any Warrant or Warrants, all adjustments carried forward and not theretofore made made, up to and including the date of such exercise shall, with respect to the portion of the Warrant or Warrants then exercisedconverted, be made to the nearest .1 .001 of a cent.
