The corporate records and minute books of the Company and the Subsidiaries contain complete and accurate minutes of all meetings and resolutions of the directors (and any committees thereof) and shareholders of the Company and the Subsidiaries, as applicable, and the share certificate books, register of shareholders, register of transfers and register of directors of the Company and the Subsidiaries are complete and accurate in all material respects.
