Common use of Minutes Clause in Contracts

Minutes. Minutes of all resolutions and proceedings at every meeting of Registered Warrantholders shall be made and duly entered in books to be provided from time to time for that purpose by the Warrant Agent at the expense of the Corporation, and any such minutes as aforesaid, if signed by the chairman or the secretary of the meeting at which such resolutions were passed or proceedings had shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting in respect of the proceedings of which minutes shall have been made shall be deemed to have been duly convened and held, and all resolutions passed thereat or proceedings taken shall be deemed to have been duly passed and taken.

Minutes. Any such minutes as aforesaidminutes, if they purport to be signed by the chairman or the secretary of the meeting at which such resolutions were passed or proceedings had transacted or by the chairman of the next succeeding meeting of the Noteholders, shall be prima facie conclusive evidence of the matters therein stated and, until contained in them. Until the contrary is proved, every such meeting in respect of which minutes of the proceedings of which minutes shall have been made and signed in accordance with this Condition shall be deemed to have been duly held and convened and held, and all resolutions passed thereat or proceedings taken shall be deemed transacted at such meeting to have been duly passed and takentransacted.

Minutes. Minutes of all resolutions and proceedings at every meeting of Registered Warrantholders Receiptholders shall be made and duly entered in books to be provided from time to time for that purpose by the Warrant Subscription Receipt Agent at the expense of the Corporation, and any such minutes as aforesaid, if signed by the chairman or the secretary of the meeting at which such resolutions were passed or proceedings had or by the chairman or secretary of the next succeeding meeting held shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting in respect of the proceedings of which minutes shall have been made shall be deemed to have been duly convened and held, and all resolutions passed thereat or proceedings taken shall be deemed to have been duly passed and taken.

Minutes of all resolutions and proceedings at every meeting of Registered Warrantholders shall as aforesaid will be made and duly entered in books to be provided from time to time for that purpose by the Warrant Agent Indenture Trustee at the expense of the Corporation, Trust and any such minutes as aforesaid, if signed by the chairman or the secretary chairperson of the meeting at which such resolutions were passed or proceedings had shall taken, or by the chairperson of the next succeeding meeting of Noteholders to which such meeting relates, will be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting in meeting, with respect of to the proceedings of which minutes shall have been made shall made, will be deemed determined to have been duly convened held and heldconvened, and all resolutions passed thereat or proceedings taken shall be deemed thereat to have been duly passed and taken.

Minutes. Minutes of all resolutions and proceedings at every meeting of Registered Warrantholders shall be made and duly entered in books to be provided from time to time for that purpose by the Warrant Agent at the expense of the CorporationAgent, and any such minutes as aforesaid, if signed by the chairman or the secretary of the meeting at which such resolutions were passed or proceedings had shall be prima facie evidence of the matters therein stated and, until the contrary is proved, every such meeting in respect of the proceedings of which minutes shall have been made shall be deemed to have been duly convened and held, and all resolutions passed thereat or proceedings taken shall be deemed to have been duly passed and taken.

Minutes of all resolutions passed and proceedings taken at ------- every meeting of Registered Warrantholders as aforesaid shall be made and duly entered in books to be provided from time to time provided for that purpose by the Warrant Agent at the expense of the Corporation, Corporation and any such minutes as aforesaid, if signed by the chairman or the secretary of the meeting at which such resolutions were passed or proceedings had taken, or by the chairman of the next succeeding meeting of Warrantholders, shall be prima facie evidence of the matters therein stated and, and until the contrary is proved, every such meeting in respect of the proceedings of which minutes shall have been made shall be deemed to have been duly held and convened and held, and all resolutions passed thereat or proceedings taken shall be deemed to have been duly passed and taken.
