Misleading Statements. No statement by the Company in this Agreement or in any document, written statement or certificate furnished or to be furnished to the Investors pursuant to this Agreement (including the Disclosure Schedule attached hereto and made a part hereof for all purposes) or in connection with the transactions contemplated by this Agreement, when taken together, contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statements therein made not misleading.
