MODIFICATION OF FINANCIAL INCENTIVES. If at any time during the Term, the 5 year U.S. Treasury Bond rate as published in the Wall Street Journal decreases by 200 bps or more from the rate in effect on the Financial Effective Date, you have the right to request in writing, within fourteen (14) days after the rate decrease, a renegotiation of the Financial Incentives. Should the parties agree upon a revised Financial Incentive, American Express will use commercially reasonable efforts to effectuate the change within sixty (60) days after such agreement is reached. 1 basis point = 0.01%. If at any time during the Term, the 5 year U.S. Treasury Bond rate as published in the Wall Street Journal increases by 200 bps or more from the rate in effect on the Financial Effective Date, we may modify the Financial Incentives upon sixty (60) days prior written notice to you. If (a) your corporate structure changes due to a merger, acquisition, divestiture, or for any other reason, (b) you cease to be an E&I Member, or (c) the E&I Agreement terminates for any reason, then this Financial Appendix may be terminated and renegotiated by American Express at its sole discretion.

  • Modifications to the Award Agreement This Award Agreement constitutes the entire understanding of the parties on the subjects covered. Participant expressly warrants that he or she is not accepting this Award Agreement in reliance on any promises, representations, or inducements other than those contained herein. Modifications to this Award Agreement or the Plan can be made only in an express written contract executed by a duly authorized officer of the Company. Notwithstanding anything to the contrary in the Plan or this Award Agreement, the Company reserves the right to revise this Award Agreement as it deems necessary or advisable, in its sole discretion and without the consent of Participant, to comply with Section 409A or to otherwise avoid imposition of any additional tax or income recognition under Section 409A in connection to this Award of Restricted Stock Units.

  • Modification of Services Credit Union reserves the right to modify the Service from time to time without making prior notice to Member, provided, however, that Credit Union will give you at least thirty (30) days notice prior to making any modifications to the Service that would materially alter their functionality.

  • Modification, etc No modification, amendment or waiver of any provision of this Article, nor the consent to any departure by a Guarantor therefrom, shall in any event be effective unless the same shall be in writing and signed by the Trustee, and then such waiver or consent shall be effective only in the specific instance and for the purpose for which given.   • Plan Changes In the event the Employer modifies its current benefit plans, or provides an alternative plan(s), the Employer will review the plan changes with the Union prior to implementation. The Employer shall notify the Union at least ninety (90) days prior to the intended implementation date. The implementation date is the effective date of the new plan.

  • Amendments to Employment Agreement The Employment Agreement is hereby amended as follows:
