Common use of Modification; Prior Claims Clause in Contracts

Modification; Prior Claims. This Agreement and the Employee Proprietary Information and Inventions Agreement set forth the entire understanding of the parties with respect to the subject matter hereof, and supersede all existing agreements between them concerning such subject matter, including, without limitation, any employment agreement or offer letter executed by the Company and Executive in effect prior to the Effective Date including that certain Agreement for Acceleration and/or Severance effective as of March 11, 2015, between the Company and the Executive and any previous employment agreement between the Company and Executive. This Agreement may be amended or modified only with the written consent of Executive and an authorized representative of the Company. No oral waiver, amendment or modification will be effective under any circumstances whatsoever.

This Agreement and the Employee Proprietary Information and Inventions Agreement (and the other documents referenced therein) set forth the entire understanding of the parties with respect to the subject matter hereof, and supersede all existing agreements between them concerning such subject matter, includingincluding any offer letter, without limitation, any employment agreement or offer letter executed by the Company and Executive in effect prior other agreement with respect to the Effective Date including that certain Agreement for Acceleration and/or Severance effective as of March 11, 2015, employment or services between the Company and the Executive and any previous employment agreement between the Company and/or Parent and Executive. Executive hereby expressly agrees that any such prior agreements are hereby cancelled with immediate effect and he shall have no further rights or benefits thereunder. This Agreement may be amended or modified only with the written consent of Executive and an authorized representative of the Company. No oral waiver, amendment or modification will be effective under any circumstances whatsoever.
