Common use of Month Forecast Clause in Contracts

Month Forecast. As soon as reasonably practicable [***], Client will give Patheon a non-binding 12 month forecast of the volume of Product that Client expects to order for commercial purposes in the first 12 months of commercial manufacture of the Product. This forecast will then be updated by Client on or before the 10th day of each month thereafter on a rolling forward basis. Client will update the forecast forthwith if it determines that the volumes estimated in the most recent forecast have changed by more than 20%. The most recent 12-month forecast will prevail over all previous forecasts.”
