Months of a Change in Control. If Executive terminates his employment pursuant to clause (i) of Section 5.2, the Company's obligations under this Agreement shall cease as of the date of such termination.

If Executive terminates his employment pursuant to clause (i) of Section 5.2, the Company's obligations under this Agreement shall cease as of the date of such terminationtermination and Executive shall be subject to the noncompetition provisions set forth in Section 9 hereof; provided, however, Executive shall be entitled to receive upon such termination the amount of any deferred compensation under Section 6.2 hereof.
