Multiple Rights to Indemnification. Any Covered Person shall be entitled to be indemnified for any loss, liability or expense (including taxes; penalties; judgments; fines; amounts paid or to be paid in settlement; costs of investigation and preparations suffered by any such Person; and fees, expenses, and disbursements of attorneys, whether or not the dispute or proceeding involves the Company or any Manager or Member) to the greatest extent that such Covered Person is entitled to indemnification for the capacity in which such Covered Person served with respect to such matters under this Agreement.
