Common use of Mutual Contribution Clause in Contracts

Mutual Contribution. The parties to this Agreement have mutually contributed to the drafting of this Agreement and the completion of the transactions contemplated herein. Consequently, no provision of this Agreement shall be construed against any party on the ground that such party drafted the provision or caused it to be drafted or the provision contains a covenant of such party. Furthermore, each party represents, warrants, and acknowledges to each other party that such party has sought and obtained such advice from its legal, financial, accounting, and investment advisors in connection with the negotiation and preparation of this Agreement and the completion of the transactions herein contemplated as such party has deemed necessary or appropriate.
