Common use of Mutual Information Clause in Contracts

Mutual Information. The Underwriters will provide such information as CSFBC and CSFBL may request in order to allow CSFBC and CSFBL to satisfy their obligations hereunder and in order to allow CSFBC and CSFBL to keep the Underwriters informed of the progress of the offering of the Offered Securities. Unless otherwise approved by CSFBC, each Underwriter agrees not to make, in the United States or Canada or elsewhere, any press or public announcement or public comment which it believes or ought reasonably to believe is likely to be published in the press or elsewhere concerning (a) the Company or any of its subsidiaries or (b) the offering of the Offered Securities, in either case on or after the date hereof and prior to the later of (i) termination pursuant to Section 10 of the Underwriters' obligations set forth in Section 2 or (ii) the Closing Date (as defined in Section 8), provided that the foregoing shall not restrict any Underwriter from making such public announcement or comment as shall be required for the purpose of the conduct of the offering of the Offered Securities, subject to such public announcement or comment being permitted by applicable law to be made in the manner in which it is made and to its being in the terms approved in writing by CSFBC.
