Common use of Mutual Obligation Clause in Contracts

Mutual Obligation. The Recipient agrees that it will not use the Discloser’s Confidential Information except in connection with the performance of its obligations or the exercise of its rights under this Agreement, and will not disclose, without the prior written consent of the Discloser, Confidential Information of the Discloser to any third party, except that the Recipient may disclose the Discloser’s Confidential Information to any of its Affiliates and its or their respective Representatives and subcontractors for which consent has been given pursuant to Section 6.3 and who have obligations of confidentiality and non-use at least as rigorous as those terms herein, in each case, that (A) need to know such Confidential Information for the purpose of performing under this Agreement, (B) are advised of the contents of this Article and (C) are bound to the Recipient by obligations of confidentiality at least as restrictive as the terms of this Article. Each party shall be responsible for any breach of this Article by its Affiliates or any of its or their respective Representatives or any person receiving Confidential Information directly or indirectly from or through the Recipient.

Mutual Obligation. The Recipient agrees that (A) will keep confidential all Confidential Information, employing such protections as it would use for its own Confidential Information of a similar nature but in no case less than reasonable protections under the circumstances, (B) will not use the Discloser’s Confidential Information except in connection with the performance of its obligations or the exercise of its rights under this Agreement, and (C) will not disclose, without the prior written consent of the Discloser, Confidential Information of the Discloser disclose to any third party, without Discloser’s prior written consent, Discloser’s Confidential Information, except that the Recipient may disclose the Discloser’s Confidential Information to any of its Affiliates and its or their respective Representatives and subcontractors for which consent has been given pursuant to Section 6.3 and who have obligations of confidentiality and non-use at least as rigorous as those terms herein, in each case, that (Ai) need to know such Confidential Information for the purpose of performing under this Agreement, (Bii) are advised of the contents of this Article Article, and (Ciii) are bound to the Recipient by obligations of confidentiality at least as restrictive as the terms of this Article. Each party Party shall be responsible for any breach of this Article by its Affiliates or any of its or their respective Representatives or any person receiving Confidential Information directly or indirectly from or through the RecipientRepresentatives.

Each party shall be responsible for any breach of this Article by its Affiliates or any of its or their respective Representatives or any person receiving Confidential Information directly or indirectly from or through the RecipientRepresentatives.

The Recipient also may disclose any information to The Population Council, as may be required by any written contract now in existence.
