Nature and Extent of Liability Sample Clauses
The "Nature and Extent of Liability" clause defines the scope and limitations of a party's legal responsibility under a contract. It typically outlines what types of damages or losses are covered, sets caps on the amount recoverable, and may exclude certain liabilities such as indirect or consequential damages. For example, it might specify that a party is only liable for direct losses up to a certain monetary limit. This clause serves to allocate risk between the parties, providing clarity on potential exposure and helping to prevent unexpected or disproportionate claims.
