Nature of Project Manager’s Services and Responsibilities. County acknowledges and agrees that Project Manager’s responsibilities under this Agreement consist primarily of advising and consulting with County in connection with the Services. County further acknowledges that Project Manager is not itself preparing any design or engineering plans or specifications for the Project. County agrees that Project Manager shall have no liability for or with respect to professional services rendered by others, plans, designs or specifications provided by others, construction work performed by others, or materials furnished by others in connection with Project Manager’s responsibilities under this Agreement. However, Project Manager has certain review functions related to the Services and remains liable for such review functions. Project Manager is not providing legal assistance to County in connection with such negotiations or otherwise. Project Manager will use its best efforts to assist the County in identifying and mitigating any hazardous materials that may exist relative to the Project, but assumes no responsibility to County in so doing. Project Manager is responsible for, and is liable for its performance in accordance with this Agreement of, those Services listed in Exhibit B.
Nature of Project Manager’s Services and Responsibilities. Owner acknowledges and agrees that Project Manager’s responsibilities under this Agreement consist solely of advising and consulting with Owner in connection with certain matters pertaining to the Project and coordinating and monitoring the activities of the Architect and Construction Manager and other third parties, as appropriate, on behalf of Owner. Owner further acknowledges that Project Manager is not itself preparing any design or engineering plans or specifications or performing any of the construction or furnishing any of the materials required for the Project; and, accordingly, Owner acknowledges and agrees that Project Manager shall have no liability or responsibility of any kind or nature whatsoever for or with respect to any professional services rendered, plans, designs or specifications provided, construction work performed, or materials furnished, in connection with the Project. Owner further acknowledges and agrees that Project Manager shall have no liability or responsibility of any kind or nature whatsoever for or with respect to the cost of the Project or for the payment of any Project Costs, including, without limitation, the total Project Costs exceeding the Approved Project Budget. Owner further acknowledges that Project Manager is assisting Owner in its negotiations with Architect and Construction Manager and others solely in connection with Project Manager’s responsibilities under this Agreement, but that Project Manager is not providing legal assistance or advice to Owner in connection with such negotiations or otherwise.

  • Client Responsibilities You are responsible for (a) assessing each participants’ suitability for the Training, (b) enrollment in the appropriate course(s) and (c) your participants’ attendance at scheduled courses.

  • Client’s Responsibilities The Client’s responsibilities include the following: a. Enrolling. The Client must complete the Informed Consent for Collection and Storage (attached as Schedule 1) The Client must complete or facilitate the Gestational Carrier’s and if applicable, Egg Donor’s completion of the Health History Questionnaire and the Informed Consent to Testing of the Maternal Sample provided by ViaCord. For ▇▇▇▇ ▇▇▇▇▇▇▇ collected in New York State, where possible, the Child’s biological father should also complete a Health History Questionnaire. Generally, for Newborn Stem Cells to be used in treatment, the healthcare provider will need information about the Gestational Carrier and if applicable, Egg Donor. The Health History Questionnaire(s) provides much of the required information.Complete and accurate information is critical to Release and use of Newborn Stem Cells. If You do not provide a completed Health History Questionnaire(s) from the Gestational Carrier and if applicable, Egg Donor, VPL may be unable to Release the Newborn Stem Cells. In addition, if any information provided in the ViaCord Services Agreement or any of the Health History Questionnaire(s) is incomplete or incorrect, it is the Client’s responsibility to notify ViaCord and correct that information immediately.

  • Provider Responsibilities The Private Child-Caring Facility (PCC) (a.k.a., Provider) must comply with the following requirements:

  • Contractor’s Responsibilities Unless stated specifically to the contrary in the tender with full supporting explanations, the contractor will be deemed to have concurred as a practical manufacturer with the design and layout of the works as being sufficient to ensure reliability and safety in operation, freedom from undue stresses and satisfactory performance in all other essentials as a working material.
