NERC Electric System Reliability Standards. (a) During the Term, for purposes of complying with any NERC Reliability Standards applicable to the Generating Facility, Seller (or an agent of Seller as consented to by SCE, which consent shall not be unreasonably withheld; provided that SCE shall furnish to Seller in writing an explanation of the basis for of any objection) must be registered with NERC as the Generator Operator and the Generator Owner for the Generating Facility and must perform all Generator Operator Obligations and Generator Owner Obligations except those Generator Operator Obligations that SCE, in its capacity as Scheduling Coordinator, is required to perform under this Agreement, if Seller is required to be a registered entity pursuant to the NERC Reliability Standards. (b) Notwithstanding anything to the contrary set forth in this Section 3.25, each Party acknowledges that such Party’s performance of the Generator Operator Obligations or Generator Owner Obligations may not satisfy the requirements for self-certification or compliance with the NERC Reliability Standards, and that it shall be the sole responsibility of each Party to implement the processes and procedures required by NERC, WECC, or the CAISO in order to comply with the NERC Reliability Standards.

(a) During the Term, for purposes of complying with any NERC Reliability Standards applicable to the Generating Facility, Seller (or an agent of Seller as consented agreed to by SCE, which consent shall not be unreasonably withheld; provided that SCE shall furnish to Seller Buyer in writing an explanation of the basis for of any objectionits reasonable discretion) must be registered with the NERC as the Generator Operator and the Generator Owner for the Generating Facility and must perform all Generator Operator Obligations and Generator Owner Obligations except those Generator Operator Obligations that SCEBuyer, in its capacity as Scheduling Coordinator (if Seller has elected to have Buyer serve as its Scheduling Coordinator), is required to perform under this Agreement, if Seller is required to be a registered entity pursuant to Agreement or under the NERC Reliability Standards.
(b) CAISO Tariff. Notwithstanding anything to the contrary set forth in this Section 3.253.21 and subject to the indemnity obligations set forth in Section 9.03(g), each Party acknowledges that such Party’s performance of the Generator Operator Obligations or Generator Owner Obligations may not satisfy the requirements for self-certification or compliance with the NERC Reliability Standards, and that it shall be the sole responsibility of each Party to implement the processes and procedures required by the NERC, the WECC, the CAISO, or the CAISO a Governmental Authority in order to comply with the NERC Reliability Standards.
