Common use of Net Issuance Right Clause in Contracts

Net Issuance Right. In lieu of exercising this Warrant by check or wire transfer as specified in Section 1.1, Holder may from time to time convert this Warrant, in whole or in part, into a number of shares of Stock as is computed using the following formula: X= Y*(A-B) A where: X = the number of shares of Stock to be issued to Holder pursuant to this Section 1.2. Y = the number of shares of Stock covered by this Warrant in respect of which the net issue election is made pursuant to this Section 1.2. A = the Fair Market Value (as determined pursuant to Section 1.3) of one share of Stock, as determined at the time the net issue election is made pursuant to this Section 1.2. B = the Exercise Price in effect under this Warrant at the time the net issue election is made pursuant to this Section 1.2.
