Net Offering Proceeds. The sum of (a) the gross cash proceeds received by REIT or any of its Subsidiaries as a result of an Equity Offering or as a result of any contribution of capital less the customary and reasonable costs, expenses and discounts paid by REIT or such Subsidiary in connection therewith (including underwriting discounts and commissions), and (b) the value of assets received by Borrower in exchange for the issuance of equity interests in Borrower.
