NET OPERATING PROFIT. The Net Operating Profit generated by the Seller at the VIP Club located at the Casino is arrived at by the calculation of deducting the Chips Commission Paid to Promoters and Management Fee Paid from the Income received being Net Revenue from Gaming Operations from the Casino pursuant to the VIP Gaming Promotion Agreement dated September 4, 2009 between the Seller and the Casino calculated in accordance with the format annexed as Exhibit 2

NET OPERATING PROFIT. The Net Operating Profit generated by the Seller at the VIP Club located at the Casino is arrived at by the calculation of deducting the Chips Commission Paid to Promoters and Management Fee Paid from the Income received being Net Revenue from Gaming Operations from the Casino pursuant to the VIP Gaming Promotion Promoter Agreement dated September 4November 9, 2009 (the “Gaming Promoter Agreement”) between the Seller MGM Grand Paradise S.A. and the Casino Sociedad Promocao de Jogos Iao Pou Limitada calculated in accordance with the format annexed as Exhibit 2.

NET OPERATING PROFIT. The Net Operating Profit generated by the Seller at the VIP Club located at the Casino is arrived at by the calculation of deducting the Chips Commission Paid to Promoters and Management Fee Paid from the Income received being Net Revenue from Gaming Operations from the Casino pursuant to the VIP Gaming Promotion Agreement Agreement, dated September 4as of November 14, 2009 (the “VIP Gaming Promotion Agreement”) between the Seller Unicorn Incorporation and the Casino Champion Lion Limited, calculated in accordance with the format annexed as Exhibit 2.

NET OPERATING PROFIT. The Net Operating Profit generated by the Seller at the VIP Club located at the Casino is arrived at by the calculation of deducting the Chips Commission Paid to Promoters and Management Fee Paid from the Income received being Net Revenue from Gaming Operations from the Casino pursuant to the VIP Gaming Junket Promotion Agreement Agreement, dated September 4January 18, 2009 2008 (“VIP Junket Promotion Agreement”) between the Seller Doowell Limited and the Casino ▇▇▇▇▇▇▇▇ Investments Asia, Ltd. calculated in accordance with the format annexed as Exhibit 2.

NET OPERATING PROFIT. The Net Operating Profit generated by the Seller at the VIP Club located at the Casino is arrived at by the calculation of deducting the Chips Commission Paid to Promoters and Management Fee Paid from the Income received being Net Revenue from Gaming Operations from the Casino pursuant to the VIP Gaming Junket Promotion Agreement Agreement, dated September 4May 17, 2009 2011, between C▇▇▇▇ L▇▇▇ ▇▇▇ and Casino, as such agreement may be amended, replaced or superceded from time to time (the Seller and the Casino “VIP Junket Promotion Agreement”) calculated in accordance with the format annexed as Exhibit 2.
