Net Proceeds Share Sample Clauses

The Net Proceeds Share clause defines how the net financial returns from a particular transaction or project are distributed among the involved parties. Typically, this clause outlines the method for calculating net proceeds—such as gross revenue minus specified costs or expenses—and specifies the percentage or portion each party is entitled to receive. For example, after deducting agreed-upon expenses from the total sale price of an asset, the remaining amount is split according to the predetermined shares. The core function of this clause is to ensure transparency and fairness in the allocation of profits, reducing the potential for disputes over financial entitlements.

[Moreover, there shall be no separate Net Proceeds Share payable with respect to any Financing Event to the extent that the loan proceeds from such Financing Event finance a Change of Ownership with respect to which County is paid a Net Proceeds Share pursuant to the first paragraph of this Section 4.8 and such Financing Event is consummated concurrent with the consummation of the Change of Ownership.
