A Network Services Agreement is a contract that outlines the terms and conditions under which one party provides network-related services—such as internet connectivity, data transmission, or managed network solutions—to another party. Network Services Agreement. (a) Sprint PCS has reviewed that certain Network Services Agreement (the "NETWORK SERVICES AGREEMENT"), dated as of even date herewith, among Manager, West Virginia PCS Alliance, L.C. and Virginia PCS Alliance, L.C. (together with West Virginia PCS Alliance, L.C., the "ALLIANCES") and upon the execution of all of the following agreements: this Addendum; the Assignment, between Sprint PCS, Manage and the Alliances; the Sprint PCS Build-Out Agreement, between Sprint PCS and the Alliances (the "BUILD-OUT AGREEMENT"); and the Amendment to Intercarrier Roamer Service Agreement, among WirelessCo, L.P. and various other parties, including the Alliances), Sprint PCS consents to the Manager's execution of, and performance under, the Network Services Agreement.
(b) Manager agrees that it will not amend or modify the Network Services Agreement or give any waivers for performance thereunder, in either case in a manner that would materially impact Manager's ability to comply with the terms and conditions of the Management Agreement, without the prior written consent of Sprint PCS, which consent will not be unreasonably withheld. Manager will provide Sprint PCS with 30 days prior written notice of any amendment, modification or waiver under the Network Services Agreement, except that Sprint PCS will use commercially reasonable efforts to respond within a shorter time period than 30 days if requested by Manager.
Network Services Agreement. Reuters Limited and the Company shall have executed a term sheet (the "Network Services Agreement Term Sheet"), in form and substance satisfactory to Reuters Limited, for an agreement (a "Network Services Agreement") for supply by the Company to Reuters Limited of certain data transport network services and the operation, management and maintenance thereof.
Network Services Agreement. If on or prior to the date which is seventy-five (75) days following the Effective Date, Borrowers shall not have entered into a Network Services Agreement, in form and substance satisfactory to Lender in its sole discretion, with WorldCom.
Network Services Agreement. A duly executed counterpart of the Network Services Agreement substantially in the form attached hereto as Exhibit B (the “Network Services Agreement”);
Network Services Agreement. Simultaneously with the execution of this Agreement, Rhythms and MCI WORLDCOM shall enter into the Network Services Agreement (the "NSA") in substantially the form attached hereto as SCHEDULE 3.1 pursuant to which MCI WORLDCOM will provide and Rhythms will purchase Network Services. The NSA shall provide the geographical markets to be covered and the schedule of availability of Network Services in each market. In the event that agreement has not been reached as to any material terms and the NSA is not executed simultaneously with this Agreement, the parties shall negotiate in good faith in an effort to reach agreement and to execute the NSA within thirty (30) days of the Effective Date of this Agreement unless extended by mutual agreement. The parties failure to execute the NSA within such time period may result in partial termination of this Agreement in accordance with Section 8.2(d) of this Agreement. Moreover, the binding effect of the NSA shall be contingent upon the execution of the CSA and the OSS Licensing Agreement.
Network Services Agreement. The Borrower shall have entered into the Network Services Agreement (as defined in the Asset Purchase Agreement) on terms reasonably satisfactory to the Administrative Agent; there shall not have been any material modification, amendment, supplement or waiver to the Network Services Agreement without the prior written consent of the Administrative Agent, including any modification, amendment, supplement or waiver relating to the amount or type of consideration to be paid in connection with the transactions contemplated therein or the contents of any disclosure schedules and exhibits; and
Network Services Agreement. Coincident with the execution of this Agreement, IMS and BCBSM shall execute the Network Services Agreement, a copy of which is attached as Exhibit E hereto, and BCBSM shall make payment, by check made out to Company ("Minnesota Medical Communication Network LLC") in the amount of $100,000, for its first quarterly portion of the Annual Network Fee thereunder.

Network Services Agreement. Coincident with the execution of this -------------------------- Agreement, IMS and MHI shall execute the Network Services Agreement, and MHI shall make payment, by check made out to Company ("Indiana Medical Communication Network LLC") in the amount of $62,500, for its first quarterly portion of the Annual Network Fee thereunder.
Network Services Agreement. 18.1 No contract for the provision of a Subsidised Mobile Device will become binding unless and until the Customer enters into a Network Services Agreement directly with the Network Operator, or a Contract with Pinnacle.
18.2 The Network Services Agreement will be between the Customer and the Network Operator, and Pinnacle shall have no responsibility or liability under or in relation to such agreement or for providing network services.
18.3 It is the Customer’s responsibility to ensure that the chosen Network Operator, tariffs and bolt-ons provides sufficient network coverage and quality of service, features, support and services to meet the Customer’s needs and are suitable for the Customer’s needs and usage. It is also the Customer’s responsibility to ensure that the tariff and/or package chosen is suitable for the Customer’s needs. Pinnacle gives no advice and makes no recommendation in this respect and Pinnacle’s employees, staff and other representatives have no authority to make any such recommendations or to give advice.
18.4 Whilst Pinnacle will analyse the Customer’s previous usage and propose tariffs and associated bolt-ons this is offered on a reasonable endeavours basis and no guarantee is offered or implied. The Customer must perform its own due diligence prior to committing to these terms and conditions by signing the Pinnacle Contract or Invoice.
18.5 Whilst Pinnacle will make reasonable efforts to ensure the accuracy and completeness of the tariff analysis results, the Customer should not rely on them and Pinnacle accepts no liability for errors or omissions or for any direct, indirect, incidental or consequential damages arising as a result of the use of the results by the Customer.
18.6 The Customer is responsible for ensuring that its chosen Network Operator provides sufficient network data speeds.
18.7 Connection to the network of a Network Operator is outside the responsibility of Pinnacle. However, it is understood that Connection can take up to 72 hours in ordinary circumstances but will be subject to the checks (including, without limitation, credit checks) of the Network Operator and Pinnacle.
18.8 The Network Services Agreement will start on the date of Connection and shall continue for the Minimum Contract Term and thereafter until terminated by the Customer in accordance with the Network Services Agreement.
