New PubCo and Merger Sub Clause Samples

The "New PubCo and Merger Sub" clause defines the creation and roles of two new entities involved in a merger transaction: a public holding company (New PubCo) and a subsidiary (Merger Sub) formed specifically to facilitate the merger. Typically, New PubCo will become the parent company of the combined businesses post-merger, while Merger Sub is merged with the target company to effectuate the transaction. This structure is commonly used in reverse mergers or SPAC transactions to streamline the combination process and ensure that the resulting entity is publicly traded. The clause clarifies the legal framework for the merger, ensuring all parties understand the entities involved and their respective functions in completing the deal.
