Common use of No Adverse Development Clause in Contracts

No Adverse Development. There shall not have been any material adverse changes in the financial condition, results of operations, assets, liabilities, business or prospects of GTW since the date of this Agreement, and 2TM shall receive a certificate to such effect executed by the Chairmen and President of GTW.
