No Analysis. NISSAN agrees not to make or have made any analysis, observation of the chemical composition and/or physical characteristics or to perform any experiment on HOKU MEA or HOKU Membrane, without the prior written consent of HOKU, except as specifically set forth in this Agreement. The Parties agree that the damages resulting from a breach of this Section 6 are difficult measure, and compensation for such damages shall be separately discussed by the Parties taking into consideration the scale of damage HOKU may suffer, on case-by-case basis.

No Analysis. Transferee shall not analyze chemically or conduct any reverse engineering on the Material in any manner. However, it is understood that Transferee may have to conduct certain physical testing in order to determine the suitability of the Material for having the desired properties in its finished product. Any such physical testing shall be limited to the test plan set forth in Exhibit A and incorporated herein by reference (the “Test Plan”). At Transferor’s request, any work performed pursuant to the Test Plan shall be done in the presence of one or more of Transferor’s engineers. The results of any testing pursuant to the Test Plan will be treated as Confidential Information (as defined below).
