No assignment by Borrowers. 15.2.1 No Borrower may assign or transfer any of its rights or obligations under this Agreement. 15.2.2 If so directed by the Agent (acting on the instructions of all Banks), the Borrowers shall procure that any Security Party which is a FATCA FFI or a US Tax Obligor shall resign as a Security Party prior to the earliest FATCA Application Date relating to any payment by that Security Party (or any payment by the Agent which relates to a payment by that Security Party).
