Common use of No assignment by Guarantor Clause in Contracts

No assignment by Guarantor. The Guarantor may not assign or transfer any of its rights or obligations under or pursuant to this Guarantee without the prior written consent of the Agent, provided always that any transfer of the Guarantor’s rights and obligations hereunder that may occur as a result of or in connection with an IPO shall not require the prior consent of the Agent and shall not constitute a breach of the Guarantor’s obligation under this clause 6.3.
