No Assignment by the Borrower Clause Samples
The "No Assignment by the Borrower" clause prohibits the borrower from transferring or assigning their rights or obligations under the agreement to another party without the lender's prior written consent. In practice, this means the borrower cannot sell, transfer, or delegate their loan responsibilities or benefits to someone else, such as another company or individual, unless the lender explicitly agrees. This clause ensures that the lender maintains control over who is responsible for repaying the loan and managing the associated obligations, thereby protecting the lender from unforeseen risks or undesirable counterparties.
No Assignment by the Borrower. The Borrower shall not assign or transfer any of its rights or obligations under this Agreement without the prior written consent of each of the Lenders.

Subject to the foregoing, all provisions contained in this Agreement and the other Loan Documents and in any document or agreement referred to herein or therein or relating hereto or thereto shall inure to the benefit of the Administrative Agent, the Issuing Lender and each Lender, their respective successors and assigns, and shall be binding upon each of the Borrower Parties and such Person’s successors and assigns.
No Assignment by the Borrower. The Borrower may not assign or transfer any of its rights or obligations under this Agreement, except with the prior written approval of the Bank.
