Common use of No Audits Clause in Contracts

No Audits. Except as would not have, individually or in the aggregate, a Company Material Adverse Effect, (i) no audits, investigations, proceedings, actions or other examinations with respect to Taxes of the Company or any of its Subsidiaries are presently in progress or have been asserted or proposed in writing and (ii) no deficiency for Taxes has been assessed or asserted in writing by any Governmental Authority against the Table of Contents Company or any of its Subsidiaries, except for deficiencies which have been settled, withdrawn or satisfied by payment.
