Common use of No Authorization Required Clause in Contracts

No Authorization Required. Except as otherwise set forth in Section 4.4 of the Disclosure Schedules, no authorization or approval or other action by, and no notice to or filing with, any Governmental Authority or other Person will be required to be obtained or made by any Seller Party in connection with the due execution, delivery and performance by the Sellers Parties of this Agreement and the Ancillary Agreements and the consummation by the Seller Parties of the transactions contemplated hereby and thereby.
