No Authorization Required. Except for compliance with the applicable requirements of the HSR Act, no consent, approval, authorization or order of, or qualification with, any court, governmental authority or any third party is required for the execution and delivery by Assignee of this Agreement or the consummation by Assignee of the transactions contemplated by this Agreement.
