Common use of No Bar Clause in Contracts

No Bar. There will not be in effect any judgment, decree or order of, or position taken by, any court or administrative body of competent jurisdiction, nor will there have been any action, suit, proceeding or known investigation instituted or threatened, nor will any law or regulation have been enacted or any action taken thereunder, which would, in Seller’s reasonable judgment, restrain or prohibit, make illegal, or subject Seller to material damage as a result of, the consummation of the transactions contemplated hereby;

No Bar. There will shall not be in effect any judgment, decree or order of, or position taken by, any court or administrative body Governmental Authority of competent jurisdiction, nor will shall there have been any action, suit, proceeding or known investigation Proceeding instituted or threatened, nor will shall any law or regulation Law have been enacted or any action taken thereunder, which would, in SellerPurchaser’s reasonable judgment, restrain or restrain, prohibit, adversely affect, make illegal, or subject Seller Purchaser or the Assets to material damage as a result of, the consummation of the transactions Transactions contemplated hereby;
