Common use of No Benefit to Others Clause in Contracts

No Benefit to Others. The representations, warranties, covenants and agreements contained in this Agreement are for the sole benefit of the parties hereto and, in the case of Article VI hereof, the other Indemnified Parties, and their heirs, executors, administrators, legal representatives, successors and assigns, and they shall not be construed as conferring any rights on any other persons.

No Benefit to Others. The representations, warranties, covenants covenants, and agreements contained in this Agreement are for the sole benefit of the parties Parties hereto and, in the case of Article VI hereof, the other Indemnified Parties, and their respective heirs, executors, administrators, legal representatives, successors and assigns, and they shall not be construed as conferring any Third Party beneficiary or any other rights on any other personsPersons.

No Benefit to Others. The representations, warranties, covenants and agreements contained in this Agreement are for the sole benefit of the parties hereto and, in the case of Article VI V hereof, the other Indemnified Parties, and their heirs, executors, administrators, legal representatives, successors and assigns, and they shall not be construed as conferring any rights on any other persons.

The representations, warranties, covenants and agreements contained in this Agreement are for the sole benefit of the parties hereto and, in the case of Article VI hereof, the other Indemnified Parties, and their heirs, executors, administrators, legal representatives, successors and assigns, assigns and they shall not be construed as conferring any rights on any other persons, except for (a) in the case of Article VI hereof, certain other indemnified parties, and (b) in the case of Section 7.1(d) hereof, the Affected Employees.

The representations, warranties, covenants and agreements contained in this Agreement are for the sole benefit of the parties hereto and, in the case of Article VI the Indemnification provisions hereof, the other Indemnified Partiesindemnified parties, and their heirs, executors, administrators, legal representatives, successors and assigns, and they shall not be construed as conferring any rights on any other persons.

No Benefit to Others. The representations, warranties, covenants and agreements contained in this Agreement are for the sole benefit of the parties hereto and, in the case of Article VI hereof, the other Indemnified Parties, and their heirs, executors, administrators, legal representatives, successors and assigns, and they shall not be construed as conferring any rights on any other personspersons except that Purchaser may, if required, assign Purchaser's rights and benefits hereunder, including indemnification rights, to its institutional lender.

No Benefit to Others. The representations, warranties, covenants covenants, and agreements contained in this Agreement are for the sole benefit of the parties Parties hereto and, except in respect of indemnification in favor of the case of Article VI hereofParties’ Affiliates and their respective stockholders, the other Indemnified Partiesdirectors, officers, employees, and their heirs, executors, administrators, legal representatives, successors representatives pursuant to Sections 8.2 and assigns8.3, and they shall not be construed as conferring any rights right as a third party beneficiary on any other personsPersons (including, without limitation, any Key Employee).
