Common use of No Conflict with Other Instruments or Agreements Clause in Contracts

No Conflict with Other Instruments or Agreements. Neither the execution, delivery or performance of this Agreement by Seller, nor the consummation of the transactions contemplated by this Agreement by Seller will: (a) violate any provision of the Certificate of Incorporation or Bylaws of Seller, or any law, rule, regulation, order, judgment or decree by which Seller or any of the Assets may be bound; or (b) conflict with, result in a breach of the terms and conditions of, or result in the imposition of any Lien (other than Permitted Liens) with respect to any of the Assets as a result of any provision of, or constitute a default under, any agreement to which Seller is a party or by which Seller or any of the Assets may be bound.

Neither the execution, delivery or performance of this Agreement by Seller, nor the consummation of the transactions contemplated by this Agreement by Seller will: (a) violate any provision of the Certificate of Incorporation Incorporation, Bylaws or Bylaws similar constitutional documents of Seller, or any law, rule, regulation, order, judgment or decree by which Seller or any of the Business Assets may be bound; or (b) conflict with, result in a breach of the terms and conditions of, or result in the imposition of any Lien (lien or other than Permitted Liens) encumbrance on or with respect to any of the Business Assets as a result of any the provision of, or constitute a default under, any agreement (except with respect to any Contract under which a default is caused by the assignment thereof by Seller) to which Seller is a party or by which Seller it or any of the Business Assets may be bound.
