No Conflict with Other Instruments or Agreements. Neither the execution, delivery or performance of this Agreement by Buyer, nor the consummation of transactions contemplated by this Agreement by Buyer will: (a) violate any provision of the Buyer's Certificate of Incorporation, By-Laws or similar constitutional documents of Buyer, or any law, rule, regulation, order, judgment or decree by which the Buyer may be bound; or (b) conflict with, result in a breach of the terms and conditions of, or constitute a default under, any agreement to which Buyer is a party or by which it may be bound.
