No Deference Clause Samples

The "No Deference" clause establishes that, in the event of a dispute over the interpretation of the contract, no special weight or preference will be given to the interpretation of the party that drafted the agreement. In practice, this means that if ambiguity arises, a court or arbitrator will not automatically interpret unclear terms against the drafter, which is a common legal principle known as contra proferentem. The core function of this clause is to ensure that both parties are treated equally in the interpretation process, thereby reducing the risk that one party is unfairly disadvantaged simply because they prepared the contract language.
