Common use of No Derivative Works Clause in Contracts

No Derivative Works. The Licensee shall not (and shall not induce, cause, or knowingly or recklessly enable any other person to) create any derivative work of or from any Veridium Software (or any part thereof). For the avoidance of doubt, the Licensee shall not (and shall not induce, cause, or knowingly or recklessly enable any other person to): (a) adapt, modify, change, alter, transform, enhance, improve, arrange, re-arrange, translate, recast, or build upon any Veridium Software (or any part thereof) where the result or effect is to create a derivative work; or (b) utilise, incorporate, or merge any Veridium Software (or any part thereof) with another software programme where the result or effect is to create a derivative work.
