Common use of No Effect of Knowledge Clause in Contracts

No Effect of Knowledge. The right to indemnification or other remedy of any Party based on the representations, warranties, covenants and obligations contained in this Agreement and the certificates to be delivered pursuant to Sections 9.1.3 and 9.2.1, exists notwithstanding the completion of the Arrangement and notwithstanding any investigation or knowledge acquired prior to the Effective Time.

The right to indemnification or other remedy of any Party based on the representations, warranties, covenants and obligations contained in this Agreement and the certificates to be delivered pursuant to Sections 9.1.3 and 9.2.1, any Ancillary Agreement exists notwithstanding the completion of the Arrangement Closing and notwithstanding any investigation or knowledge acquired prior to the Effective TimeClosing.

The right to indemnification or other remedy of any Party party based on the representations, warranties, covenants and obligations contained in this Agreement and the certificates any ancillary agreement, certificates, instruments or documents to be delivered pursuant to Sections 9.1.3 and 9.2.1this Agreement, exists notwithstanding the completion of the Arrangement Closing and notwithstanding any investigation or knowledge acquired prior to the Effective TimeClosing.
