Common use of No Governmental Action Clause in Contracts

No Governmental Action. There shall not have been any action taken, or any law, rule, regulation, order, or decree proposed, promulgated, enacted, entered, enforced, or deemed applicable to the transactions contemplated by this Agreement by any federal, state, local, or other governmental authority or by any court or other tribunal, including the entry of a preliminary or permanent injunction, which, in the reasonable judgment of the Company: 6.05.01. Makes any of the transactions contemplated by this Agreement illegal; 6.05.02. Results in a delay which affects the ability of the Company to consummate any of the transactions contemplated by this Agreement; 6.05.03. Otherwise prohibits, restricts, or delays consummation of any of the transactions contemplated by this Agreement or impairs the contemplated benefits to the Company or the Stockholder of the transactions contemplated by this Agreement.

Otherwise 8.05.03 Otherwise, prohibits, restricts, or delays consummation of any of the transactions contemplated by this Agreement or impairs the contemplated benefits to the Company Seller or the Stockholder Stockholders of the transactions contemplated by this Agreement.

Otherwise prohibits, restricts, or delays consummation of any of the transactions contemplated by this Agreement or impairs the contemplated benefits to the Company or the Stockholder Process of the transactions contemplated by this Agreement.

Otherwise 8.05.03 Otherwise, prohibits, restricts, or delays consummation of any of the transactions contemplated by this Agreement or impairs the contemplated benefits to the Company or the Stockholder Sellers of the transactions contemplated by this Agreement.

Makes any of the transactions contemplated by this Agreement illegal; 6.05.025.05.02. Results in a delay which affects the ability of the Company AMED to consummate any of the transactions contemplated by this Agreement; 6.05.035.05.03. Otherwise prohibits, restricts, or delays consummation of any of the transactions contemplated by this Agreement or impairs the contemplated benefits to the Company or the Stockholder AMED of the transactions contemplated by this Agreement.
